U.S. Accredited Investor Criteria

How can individuals qualify as accredited?

Individuals, also known as natural persons, may qualify as accredited investors if they meet any of the following wealth, income, or financial sophistication criteria:

Financial Criteria
  • Net worth over $1 million, excluding primary residence, individually or with spouse or partner.
  • Income over $200,000 individually, or $300,000 with spouse or partner, in each of the prior two years, and reasonably expects the same for the current year.
Professional Criteria
  • Investment professionals in good standing holding the general securities representative license, Series 7, the investment adviser representative license, Series 65, or the private securities offerings representative license, Series 82.
  • Directors, executive officers, or general partners of the company selling the securities, or of a general partner of that company.
  • Any “family client” of a “family office” that qualifies as an accredited investor.
  • For investments in a private fund, “knowledgeable employees” of the fund.

How can entities qualify as accredited?

Depending upon the structure of the entity or its assets, entities may qualify as accredited investors.

Israeli Accredited Investor Criteria

The below section is relevant only for Israeli investors. This event is intended for accredited investors and qualified clients only.

This page is intended for the exclusive use of qualified clients as defined on Schedule 1, the “Schedule,” of the Securities Law, 1968, the “Law.”

Qualified Client Criteria for Israeli Investors

An individual may qualify if one of the following applies:

  • The total value of Liquid Assets that he owns exceeds NIS 9,411,809.
  • His income in each of the last two years was more than NIS 1,411,772, or the income of his Family Unit is more than NIS 2,117,657.
  • The total value of the Liquid Assets he owns exceeds NIS 5,882,380 and his income in each of the last two years was more than NIS 705,885, or the income of his Family Unit is more than NIS 1,058,827.

In this regard:

“Liquid Assets” means cash, deposits, financial assets as defined in the Investment Counseling and Portfolio Management Law 5755-1995, and securities traded in the stock exchange.

“Family Unit” means an individual and his family members who live with him or are financially supported by one another.

Additional Qualified Investor Categories

  • A Joint Investments Trust Fund, within its meaning in the Joint Investment Trusts Law 5754-1994, or a company for management of a said fund.
  • A provident fund or a management company, as defined in the Control of Financial Services Law, Provident Funds, 5765-2005.
  • An insurer, within its meaning in the Insurance Business, Control Law 5741-1981.
  • A banking corporation and an auxiliary body corporate, within their meaning in the Banking, Licensing Law 5741-1981, exclusive of a joint service company, which acquires for itself or for customers who are investors enumerated in section 15A(b) of the Law.
  • A portfolio manager, within its meaning in section 8(b) of the Regulation of Investment Counseling and Portfolio Management Law 5755-1995, who acquires for itself or for customers who are investors enumerated in section 15A(b) of the Law.
  • An investment counselor or an investment marketer, within their meaning in section 7(c) of the Regulation of Investment Counseling and Portfolio Management Law 5755-1995, who acquires for itself.
  • A Stock Exchange member who acquires for itself or for customers who are investors enumerated in section 15A(b) of the Law.
  • An underwriter who meets the qualifications under section 56(c) of the Law and buys for itself.
  • A risk capital fund. For this purpose, “risk capital fund” means a body corporate, the main activity of which is investment in bodies corporate whose main activity, at the time of the investment, is research and development or the production of innovative and knowhow-intensive products or processes, investment in which involves greater risk than is common with other investments.
  • A body corporate wholly owned by investors enumerated in section 15A(b) of the Law.
  • A body corporate, other than a body corporate formed for the acquisition of securities from a certain offer, with an equity capital in excess of NIS 50 million.
